TERMS AND CONDITIONS OF SALE

Order Acceptance: Orders are considered firm and non-cancelable once issued and accepted by VitaScience Health Products (VS).  The entire quotation or proposal will be considered a contract with the buyer once the order has been placed and accepted. VS is not responsible for typographical or other good faith errors in proposals or quotations. Any changes to any part of VS proposals must be accepted in writing by VS, Inc. to be valid. Any customer requested changes made after order acceptance will be subject to “Change Order Terms” as detailed below.

Change Order Fees: Any changes made to the order specifications or packaging design, or other changes entailing additional costs for VS after placement of the order are subject to change fees. Any “Change Orders” must be in writing and subject to additional charge. These change fees will be quoted at the time of the request for a change and must be agreed to in writing prior to making the change. When the change is agreed to in writing it shall become a binding part of the order. All change fees must be paid within 30 days after the change order is effective, but prior to the time of shipment.

Delivery Date Conditions: VS will deliver the order (present the order completed and ready for pick up by the freight carrier) the quoted delivery time from the receipt of the order together with the deposit. This delivery time is subject to change up till order acceptance due to work load and availability of materials. The delivery time does not start counting with the issue of the order, but rather when it, along with the deposit are received in approved form by VS. VS is not responsible for delays in performance due to  flood, fire, strike, or other labor difficulty, act of God, act of governmental authority or of the purchaser, earthquake, riot, fuel or energy shortage, accidents, delay in transportation, inability to obtain necessary labor, materials or manufacturing facilities or output from the usual source or due to any other cause beyond its reasonable control.

L/C Terms: If using an L/C, the L/C must be irrevocable, confirmed by a major U.S. bank, and all terms, conditions, F.O.B. point, schedule of payments, delivery date and expiration date, documentation required, and other important conditions must be approved by VS. It is therefore advised that a draft of proposed terminology and conditions be faxed to VS prior to opening the L/C in order to avoid unnecessary delays and amendment costs, which would be for the account of the purchaser.

Wire Transfers: Payments via wire transfers must arrive at VS’s bank in full. All charges outside VS’s bank are the responsibility of the purchaser. When the purchaser’s bank uses an intermediary bank to send the funds, the intermediary bank’s charges are the responsibility of the purchaser. VS is responsible only for the charges imposed by VS’s bank. Contact VS  for wire transfer routing instructions.

Past Due Accounts: The purchaser agrees to pay all amounts when due. In the event of late payments, the purchaser agrees to pay interest at the rate of 1.5% on all past due amounts until paid. The purchaser also agrees to pay attorney’s fees or other collection costs required to obtain any payments not remitted when due. No performance, including deliveries, shall be required from VS unless the account is current. Dishonored checks are subject to a fee of not less than $25.00 and may be also subject to interest charges.

Customer Terms & Conditions: VS will comply to reasonable terms and conditions attached to customer purchase orders, provided that such are subject to VS terms & conditions. VS will not be bound to customer submitted terms and conditions unless specifically agreed to in writing by a VS officer.

Shipping: All VS products are offered Ex-Works Factory, Long Beach, California, or other VS location. All shipping costs, including local ground transportation from the factory to the port, transfer fees, loading fees, documentation fees, etc., are the responsibility of the purchaser. VS will assist in arranging transportation at favorable rates.
